The UK Competition & Markets Authority (CMA) has flagged one specific issue regarding Barratt Developments PLC (LSE:BDEV)’s proposed acquisition of Redrow PLC. The CMA’s scrutiny highlights a potential competition concern in a localized area related to a Barratt project in Whitchurch.
Details of the Acquisition
In February, Barratt Developments agreed to acquire Redrow in an all-share deal valued at £2.52 billion. The merger is part of Barratt’s strategy to expand its market presence. As of Thursday morning, Barratt’s stock decreased by 2.1%, bringing its market capitalization to £5.00 billion. Redrow’s shares fell by 2.0%, resulting in a market cap of £2.39 billion.
Competition Concerns
The CMA's review has pinpointed competition issues concerning the merger, specifically in the Whitchurch area where Barratt is actively involved in a development project. Despite this localized concern, the CMA has indicated that the merger does not pose a threat to competition across the UK as a whole.
Response from Barratt and Redrow
Barratt’s Chief Executive Officer, David Thomas, expressed satisfaction with the CMA’s assessment, noting that the concern is confined to a single area and does not affect the broader UK market. Thomas highlighted that the CMA’s findings suggest no widespread competition issues.
Redrow’s CEO, Matthew Pratt, emphasized the longstanding reputations of both companies in terms of quality, service, and sustainability. Pratt expressed optimism about the merger, anticipating that the completion of the CMA’s process will pave the way for the combined entity to enhance the delivery of high-quality homes in response to national housing needs.
Addressing CMA Concerns
Both Barratt and Redrow are required to address the CMA's concerns by next Thursday. This involves providing detailed responses or potential solutions to mitigate the identified local competition issue. The resolution of these concerns will determine the final approval of the acquisition.
