The proposal, made by Ki Corporation and Public Storage (NYSE:PSA), offers $1.47 per share, presenting a 26.7% premium over the last closing price of $1.16.

Ki Corporation already holds a significant stake in Abacus, with the current bid aiming to acquire the remaining 41.61% of shares not under its control. The proposed acquisition method involves a scheme of arrangement that would include Abacus Storage Property Trust and its subsidiary Abacus Storage Operations, both integral parts of the existing ownership structure. 

The conditions set forth for the completion of this deal are multi-faceted. Initially, Abacus Storage King must allow a six-week period for due diligence, enabling Ki Corporation and Public Storage to thoroughly evaluate the potential investment. Following this, approvals are required from both the boards of Ki and Public Storage, adding another layer of scrutiny to the process. 

Moreover, the deal is subject to regulatory green lights, which include the recognition of the Abacus Storage Property Trust as a "managed investment trust" by the Australian Tax Office. This recognition is crucial as it impacts the financial operations post-acquisition, particularly in how the trust manages fund payments that include concessional income.
