Cleanaway (ASX:CWY) is navigating regulatory hurdles as its proposed acquisition of Citywide Waste gains attention. The Australian Competition and Consumer Commission (ACCC) has flagged concerns about the deal, citing its potential to bolster Cleanaway's dominant position in Melbourne’s waste management sector. Despite these challenges, there are expectations that the acquisition will be finalized within the financial year.   

Shares in Cleanaway saw a slight dip on the Australian Securities Exchange (ASX), trading at $2.73, which marked a 0.4% decline during the day. Morningstar, however, reiterated its valuation for Cleanaway at $2.30 per share, signaling confidence in the company's overall trajectory.   

The ACCC's involvement highlights the regulatory complexities surrounding Cleanaway's plans. The acquisition would provide Cleanaway control over the two largest waste transfer stations in Victoria, significantly enhancing its scale and operational efficiency in the region. According to Morningstar analyst Esther Holloway, the deal is unlikely to require substantial divestitures, thanks to existing competition within the market.   

This acquisition is part of Cleanaway's broader strategy to drive operational efficiencies and expand its presence in key markets. Analysts anticipate that the company’s acquisition efforts will support margin improvements. For instance, operating margins are projected to increase from 9.6% in the current financial year to 12.2% in future forecasts, reflecting Cleanaway’s ability to leverage economies of scale.   

Morningstar's continued confidence in Cleanaway underscores the long-term potential of the waste management company. Despite short-term regulatory hurdles, the firm’s expansion plans appear aligned with enhancing its market position and operational metrics.
