Transaction Details
The company will issue and sell an aggregate of 7,058,820 ordinary shares at a purchase price of US$9.35 per share, representing a 6.3% discount to the company’s seven-day volume-weighted average price (VWAP).
The newly issued shares will account for around 11% of Gilat’s total outstanding shares following the completion of the placement. The closing of the transaction remains subject to customary conditions and is expected to be finalized in September 2025.
Use of Proceeds
Gilat expects to generate approximately US$65 million in net proceeds, after deducting offering expenses. These funds will be directed toward general corporate purposes, strengthening the company’s ability to support growth initiatives, enhance its technology solutions, and meet operational needs.
