Joint Venture Agreement Finalised with Managem

Oriole Resources PLC has successfully executed a joint venture agreement with AGEM Senegal Exploration Suarl, a Managem Group subsidiary, for the Senala orogenic gold project in eastern Senegal. This new agreement supersedes the prior option agreement, under which AGEM had earned a 59% beneficial interest by investing US$5.8 million in exploration.

Under the joint venture terms, AGEM will contribute US$212,000 in working capital to a newly formed joint venture company (JVCo), increasing its ownership to 60%. This arrangement provides a structured framework for advancing the exploration and potential development of the Senala project.

Senala Exploration Licence Transferred to JVCo

The Senala Exploration Licence, formerly held by Stratex EMC Sarl, will be transferred to the JVCo. Stratex EMC Sarl is 85% owned by Oriole Resources, with the remaining 15% held by local partner Energy and Mining Corporation SA (EMC). Post-transfer, Stratex EMC will hold a 40% stake in JVCo, equating to an effective 34% interest for Oriole Resources in the Senala project.

This transfer solidifies the joint venture structure, clearly defining the ownership positions of both Oriole and AGEM in the project’s future exploration and potential revenues.

Exploration Programme Scheduled for 2026

A US$2 million exploration programme is planned to begin in August 2026, featuring a 3,000-metre diamond drilling campaign at the main Faré prospect and 10,000 metres of auger drilling at the Baytilaye and Konkonou targets, situated south and south-east of the main prospect.

Oriole Resources has declared it will not participate in funding this programme, which may lead to dilution of its interest according to the actual expenditure committed. This reflects a strategic decision to leverage AGEM’s investment while retaining a significant, though reduced, stake in the project’s upside.

Overview of the Senala Project

Located within the Kédougou-Kéniéba Inlier, a Birimian-age geological belt spanning eastern Senegal and western Mali, the Senala project lies in a region renowned for substantial gold deposits. Notable nearby operations include Endeavour Mining’s Sabodala-Massawa project and Managem’s Boto mine.

AGEM has concentrated exploration on the Faré prospect since 2018, conducting extensive drilling that has delivered encouraging results. A maiden JORC Mineral Resource Estimate has been completed for the Faré South prospect, underscoring the project’s potential.

Resource Expansion Potential

In 2025, Oriole Resources published an Exploration Target for the Faré prospect, estimating 380,000 to 650,000 ounces of contained gold. This target is based on drilling by AGEM during its earn-in phase and complements the existing Mineral Resource Estimate for Faré South.

The Exploration Target highlights the opportunity for further resource growth beyond current estimates, supporting ongoing exploration and development efforts.

Contribute or Dilute Provisions

The joint venture incorporates a standard contribute or dilute clause applicable to non-participation in funding exploration programmes. Should Stratex EMC’s interest in Senala fall below 10%, it will convert automatically to a 2% Net Smelter Return Royalty. The same terms apply to AGEM if it becomes the diluting party.

This mechanism incentivises both parties to fund the project’s development while providing a royalty safeguard if their equity is substantially diluted.

Strategic Significance of Senala

Senala is situated in a prolific gold district hosting several multi-million-ounce discoveries and operating mines. Its proximity to Managem’s Boto gold mine, which holds a 1.8 million-ounce reserve, accentuates the region’s substantial gold potential.

The joint venture with Managem positions Oriole Resources to benefit from the expertise and resources of an established mining group, potentially accelerating development and enhancing project value.
