In a significant move, Winsome Resources (ASX:WR1), a lithium explorer and developer based in Perth, has announced a restructuring of its option agreement with Stornoway Diamonds (Canada) Inc. and 11272420 Canada Inc. The agreement involves Winsome electing to exercise its exclusive option on the Renard Project, a key step in its strategy to further explore lithium opportunities in Quebec, Canada.
While the total consideration for the project remains unchanged, the revised agreement introduces a more flexible payment structure. The timeline for completing the total consideration has been extended from 24 months to 30 months following the exercise of the option. This extension is expected to provide Winsome with more time to secure necessary funding and strategic partners for the project.
Since the initial option agreement was signed, Winsome has conducted extensive due diligence on both the Renard Project and Stornoway. The company has focused on assessing the technical, economic, environmental, and social feasibility of converting the Renard Mine into a lithium production site. With these evaluations nearing completion, Winsome is in ongoing discussions with Stornoway to finalize the terms of the transaction.
In a proactive move, Winsome has opted to extend the option period by two additional months, pushing the deadline from December 31, 2024, to February 28, 2025. To secure this extension, Winsome has agreed to pay C$2 million in cash, reflecting its commitment to securing the Renard Project for further development.
At its Annual General Meeting held on November 28, 2024, Winsome’s shareholders approved the issuance of up to 30 million fully paid ordinary shares in relation to the original Call Option Agreement. This approval allows the company to meet the agreed-upon consideration under the option agreement, supporting the ongoing efforts to close the deal.
The Renard Project, located about 60 kilometers south of Winsome's Adina lithium project, presents a promising opportunity. The project features a range of mineral processing and operating permits, which could facilitate a smooth transition to lithium production. Additionally, the Renard Mine is equipped with an array of processing plants and infrastructure that may support the production of spodumene concentrate, a key material for lithium extraction.
