Centamin plc (LSE:CEY) has confirmed the completion of its acquisition by AngloGold Ashanti plc, as outlined in the scheme of arrangement that was announced on 22 November 2024. With the scheme now effective, Centamin’s shares will be delisted from both the London Stock Exchange (LSE) and the Toronto Stock Exchange (TSE). This move marks the finalization of the recommended cash and share acquisition of Centamin by AngloGold Ashanti, which will see Centamin shareholders receive the agreed-upon consideration as part of the Transaction.

As of 8:00 a.m. on 25 November 2024, the Financial Conduct Authority (FCA) has cancelled the admission of Centamin’s shares to the Official List, and the LSE has also cancelled the admission of the shares to trading on its Main Market for listed securities. Additionally, Centamin’s shares will be delisted from the TSE at 4:00 p.m. (Toronto time) on the same day. This marks the conclusion of Centamin’s listing on both exchanges following the completion of the acquisition by AngloGold Ashanti.

The details of the Transaction and the full terms of the scheme were set out in the scheme document published on 30 September 2024. These documents outlined the process for the cash and share acquisition, and all capitalized terms used in today’s announcement have the meanings defined in the Scheme Document.

The delisting from the LSE and TSE completes the transition of Centamin into AngloGold Ashanti’s ownership and signifies the conclusion of a key milestone in the Transaction. The companies are now set to move forward under the new ownership structure, with the integration process likely to follow as both companies focus on their future strategies.
