The boards of Centamin plc (LSE:CEY) and AngloGold Ashanti plc have announced that the Jersey Court has sanctioned the scheme of arrangement to implement the recommended acquisition of Centamin by AngloGold Ashanti. This acquisition is being carried out under Article 125 of the Jersey Companies Law, and follows approval by Centamin shareholders at the meetings held on 28 October 2024.
The transaction remains conditional and will become effective once a copy of the Court Order is delivered to the Registrar of Companies for registration. This is anticipated to occur on 22 November 2024, marking a key step in the process. As part of the next steps, the last day for dealings in Centamin shares on the London Stock Exchange is set for 21 November 2024, and on the Toronto Stock Exchange, it will be 20 November 2024. From these dates, no further transfers of Centamin shares will be registered, other than those required by the scheme.
Following these dates, Centamin shares will be suspended from both the London Stock Exchange's main market and the Toronto Stock Exchange. The shares will also be disabled in the CREST and CDS systems. The scheme record time, which determines the shareholders entitled to receive the transaction’s consideration, will be 10:00 p.m. (London time) on 21 November 2024.
Centamin has applied for the suspension of Centamin shares on the London Stock Exchange to take effect by 7:30 a.m. on 22 November 2024, and for the cancellation of its listing on the Official List to take place on 25 November 2024. Conditional approval for the delisting of Centamin shares from the Toronto Stock Exchange has been granted, with the delisting scheduled for 25 November 2024 at 4:30 p.m. (Toronto time).
