Quarterhill Inc. (TSX:QTRH), a global provider of intelligent transportation system ("ITS") solutions, announced that it has successfully resolved a previously disclosed contract renegotiation with one of its tolling customers. The agreement, reached through mediation, underscores both parties’ commitment to building long-term partnership.

Pending final approval from the customer’s governing body, the resolution establishes new commercial terms intended to reset the relationship on a constructive foundation. The agreement provides Quarterhill with a one-time payment in Q3 2025 to address historical cost-recovery matters, while also enhancing the financial and operational structure of the contract moving forward.

The renegotiated terms include improved payment schedules, enhanced performance standards, and a new contract structure designed to raise annual revenue while reducing the costs previously associated with operations. The agreement also introduces a termination-for-convenience provision covering a three-year operations and maintenance period. This provision includes financial incentives that reward exceptional performance, further supporting Quarterhill’s margin profile.

Management noted that the outcome provides greater visibility for shareholders while demonstrating Quarterhill’s focus on balancing customer needs with long-term business performance. The Company highlighted that this resolution marks a milestone in its broader operational transformation strategy, which emphasizes boosting customer relationships, ensuring contractual alignment, and driving sustainable growth.

Quarterhill’s approach to the renegotiation highlights its strategy of using mediation and constructive engagement as tools to reset contracts on mutually beneficial terms.
