Canasil Resources Inc. (TSX-V:CLZ.H) (DB Frankfurt:3CC) has announced that the TSX Venture Exchange has accepted its private placement of 10 million common shares at CAD 0.05 per share, raising gross proceeds of CAD 500,000.

The offering included no warrants, and no finder’s fees or commissions were paid in connection with the placement.

Insider Participation         

Certain insiders and existing shareholders participated in the private placement in accordance with regulatory requirements under Multilateral Instrument 61-101. Insiders subscribed for a total of 2,500,000 common shares.

Use of Proceeds

Net proceeds from the placement will be directed towards Canasil’s ongoing operations and its exploration programs, focused on its silver-gold-copper project portfolio located in British Columbia, Canada, as well as in the Durango and Zacatecas states of Mexico.

Closing and Hold Period

The private placement closed on January 20, 2026. All common shares issued under the placement are subject to a statutory hold period of four months, expiring on May 20, 2026.

CLZ.H shares traded at CAD 0.055 per share on January 26, 2026.
