Bolivia Operations: Escala Area Concessions

Bocana, through its wholly owned subsidiary Huiracocha International Service SRL, holds a 100% working interest in the Escala area concessions located in the Sud Lipez Province of the Department of Potosi, Bolivia. These concessions were awarded by Comibol and form a central component of the company’s South American asset base. The Escala concessions provide Bocana with full operational and economic interest in the properties, supporting long-term exploration and development planning within Bolivia’s established mining framework.

Strategic Joint Venture With Arizore

Last year, Bocana entered into a Joint Venture Agreement with Arizore Ltd. of Nevis, West Indies, to establish and jointly own Arizore LLC, a Nevada-incorporated limited liability company.

The JV Company is structured to acquire, hold, explore, develop, and operate mining properties, with scope covering mineral exploration, mine development, ore processing, production, and sale of gold, silver, magnetite, and other minerals.

Key highlights of the agreement include:

  • Up to USD 60 million in project funding provided by Arizore through secured loans
  • Funding covers acquisition costs, due diligence, capital expenditures, and operating expenses
  • No equity capital contribution required from Bocana
  • Bocana serves as project operator, overseeing exploration, feasibility studies, and mining operations
  • Any equity issuance exceeding 10% requires unanimous member approval, preserving ownership balance

This structure enables Bocana to advance projects while minimizing shareholder dilution and maintaining operational leadership.

United States Asset Expansion: Arizona Placer Claims

In 2025, Bocana entered into a binding letter of intent to acquire 100% of the rights to seventy-two U.S. Bureau of Land Management placer mining claims in Pinal County, Arizona.

The claims cover approximately 1,440 acres across two contiguous blocks and are located roughly 85 miles southeast of Phoenix. Recent and historical core samples from the project area have been analyzed by accredited independent laboratories, with additional assays submitted to further evaluate mineralization.

While a previously announced letter of intent with Venture Gold Corp. has lapsed, discussions between the parties continue, with no assurance of a completed transaction.

Positioning and Outlook

Through its Bolivian concessions, U.S. asset initiatives, and capital-supported joint venture structure, Bocana Resources continues to assemble a diversified mineral exploration and development portfolio while maintaining operational control across its projects.
