Why are Liontown shares facing a downturn on Thursday?

Liontown Resources Ltd (ASX: LTR) is experiencing a notable decline in its shares, down 9% to $1.53 in morning trade. Several factors contribute to this decline, impacting the lithium developer's performance in the stock market.

One significant factor affecting Liontown's shares is the broader market weakness, characterized by a selloff on Wall Street overnight. Traders, in response to substantial gains earlier in the month, seem to be capitalizing on profits, leading to a 0.5% drop in the benchmark ASX 200 index this morning. This market weakness is influencing various ASX mining stocks, including Liontown Resources, as investors adjust their positions in response to the overall market trend.

Additionally, an official announcement from the company has played a role in the negative market sentiment surrounding Liontown shares. The announcement discloses that Liontown Resources is facing legal proceedings concerning royalties related to the Kathleen Valley Lithium Project in Western Australia.

Liontown is party to a royalty deed linked to an inherited private royalty applicable to specific tenements now incorporated into the Kathleen Valley Lithium Project. The company has received notification that Drem, the private royalty holder, has initiated legal proceedings to seek declarations regarding the interpretation of relevant documents and the amount of payable royalties.

The primary point of contention in the dispute is whether the royalty amount should be calculated as 2% or a lesser percentage of gross sales of production from the pertinent tenements. Liontown's management has stated that it will respond to the proceedings at the appropriate time, asserting that Drem's claim is not considered material to the company. Furthermore, the dispute is not anticipated to impact Liontown's plans to commence production at the Kathleen Valley Lithium Project in mid-2024.

In summary, the dual impact of broader market weakness and legal proceedings over royalty disputes has contributed to the decline in Liontown Resources' shares. While market conditions have triggered profit-taking, the legal challenge adds an additional layer of uncertainty for investors, leading to a bearish sentiment in the stock. The company, however, remains optimistic about its production plans and believes the dispute will not significantly affect its overall operations.
