Strategic Partnership with PT Raka Energi Mandiri

Estrella Resources has formalized a collaboration with PT Raka Energi Mandiri, a prominent Indonesian mining services provider. Under the terms of the agreement, PT Raka Energi Mandiri will oversee sales and distribution efforts for limestone extracted from Estrella’s projects in Timor-Leste. This arrangement leverages the partner’s established network in Southeast Asia to accelerate market entry.

Sales and Of take Framework

The agreement outlines a structured sales framework spanning a multi-year period. Limestone shipments will be coordinated through a joint entity in which Estrella holds a majority stake and PT Raka Energi Mandiri retains a complementary minority interest. Of take commitments will be met against scheduled delivery targets, with annual pricing terms to be negotiated in advance to reflect prevailing market conditions.

Equity-Linked Option Structure

As part of the arrangement, PT Raka Energi Mandiri will receive unlisted share options tied to delivered volumes. These options will vest upon confirmation of shipments and receipt of payment, aligning the partner’s rewards with project performance. The scheme requires shareholder approval before vesting conditions are finalized, ensuring alignment with corporate governance standards.

Market Reach and Distribution Pathway

By partnering with an Indonesian services specialist, Estrella Resources gains access to key industrial hubs across Southeast Asia. PT Raka Energi Mandiri’s sales channels encompass both domestic and export markets, enabling limestone from Timor-Leste to serve construction, manufacturing and refining operations.
