ABC Technologies Announces Recommended Cash Acquisition of TI Fluid Systems

ABC Technologies Acquisitions Limited (Bidco), a newly-formed company wholly owned by ABC Technologies, has reached an agreement with TI Fluid Systems plc (LSE:TIFS) for a recommended all-cash acquisition. The transaction, valued at approximately £1,039 million on a fully diluted basis, is set to enhance the strategic positioning of both companies in the global automotive industry.

Details of the Acquisition

Under the terms of the acquisition, TI Fluid Systems shareholders will receive 200.0 pence per share in cash. This offer represents a premium of approximately 54.5% to the 90-day volume-weighted average price of TI Fluid Systems shares, prior to the commencement of the offer period. The acquisition is expected to be implemented through a Court-sanctioned scheme of arrangement under Part 26 of the 2006 Companies Act.

In total, the acquisition values the entire issued share capital of TI Fluid Systems at around £1,039 million and implies an enterprise value of approximately £1,831 million. This is a significant premium over the recent share prices, with the offer representing a 37.2% premium to the closing share price of 145.8 pence on 13 September 2024, the last business day before the commencement of the offer period.
