Board Retirements at Annual General Meeting
The company confirmed that Mark Seligman, Noel Tata and Karin Hoeing will step down from the Board at the close of the Annual General Meeting scheduled in November. These departures follow a period of service in which the directors contributed to shaping the group’s current strategy.
New Senior Independent Director Appointment
Following the retirement of Mark Seligman, Dame Ann Dowling will assume the role of Senior Independent Director. She will also join the Nomination & Governance Committee, further strengthening the company’s leadership structure.
Changes to Committee Leadership and Membership
In anticipation of Karin Hoeing’s departure, Alister Cowan has joined the Remuneration & People Committee. At the conclusion of the Annual General Meeting, he will take over as Chair of that Committee and become the Board’s workforce engagement lead. He will also join the Nomination & Governance Committee at that time.
Pam Cheng will join the Audit & Risk Committee at the close of the Annual General Meeting, further broadening the expertise within the group’s oversight functions.
Chairman’s Statement
Chairman Steve Williams expressed appreciation for the contributions of the retiring directors, noting their role in shaping the current value creation strategy. He emphasized that the refreshed Board composition maintains a strong balance of skills to support the next phase of growth.
Governance Framework Adjustments
A review by the Nomination & Governance Committee has resulted in a decision to retire the Innovation, Sustainability & Excellence Committee. From the end of the Annual General Meeting, its responsibilities will be allocated to the Board or to other committees as appropriate, ensuring these areas remain central to the group’s strategic direction.
Committee Structure from November
Following the changes, the Board’s committee structure will consist of the Audit & Risk Committee, the Nomination & Governance Committee, the Remuneration & People Committee, and the Separation Oversight Committee. Committee memberships have been updated to reflect the transitions, with roles distributed among Steve Williams, Richard Howes, Alister Cowan, Dame Ann Dowling, Pam Cheng, and Simon Pryce.
