Vodafone Group Plc Announces Final Results of Notes Purchase Offers

Vodafone Group Plc has announced the final results of its previously disclosed offers to purchase outstanding notes for cash, as outlined in the offer to purchase dated July 29, 2024 (the "Offer to Purchase"). These offers, collectively referred to as the "Offers," pertain to the various series of notes described in the announcement.

On August 1, 2024, Vodafone's indirect wholly owned subsidiary, VIFD, successfully completed the issuance of €600,000,000 3.375% Notes due 2033 (the "New Notes"). The proceeds from this issuance, along with existing cash reserves, are intended to fund the Offers. With the closing of this offering, the Financing Condition stipulated in the Offer to Purchase has been met, allowing Vodafone to proceed with the planned purchases.

The Offers were designed to acquire the outstanding notes as specified in the Offer to Purchase document. Capitalized terms used in this announcement that are not otherwise defined have the same meanings as those provided in the Offer to Purchase. The satisfaction of the Financing Condition is a crucial step, as it ensures that Vodafone can fulfill its commitments under the Offers.
