Leading Canadian software firm Constellation Software Inc. Tuesday announced that has completed the spin-off of Topicus.com B.V. (Topicus) and Total Specific Solutions (TSS).
The two entities – Topicus and TSS – will now jointly operate as a separate public company.
The “spin-out shares” will trade on the TSX Venture Exchange, the junior Canadian stock exchange, around February 1, 2021.
Constellation acquired Netherlands-based Topicus through TSS and its subsidiary TPCS Holding from IJssel B.V.
Following the completion of the acquisition and spin-off, Constellation’s shareholders received 1.859817814 subordinate Topicus shares for each Constellation share held.
Daan Dijkhuizen, the current CEO of Topicus.com, will join the TSS’ Operating Group CEOs –Han Knooren and Ramon Zanders.
In an official release, Constellation says that the spinout of Topicus.com will help the tech firm to expand in the European markets.
Constellation’s current market cap is nearly C$ 35 million. Its stocks are trading at C$1649.25 a piece at the time of filing this.
CSU announced a quarterly dividend of US$ 1, and currently yields 0.319 per cent. The earning per share is 23.84, while price to earnings ratio is 69.1. Its return on equity and return on assets stand at 50.27 per cent and 10.71 per cent, respectively.
