Nova Minerals Ltd (ASX:NVA) has announced the successful closing of a public offering on the Nasdaq exchange, supporting its continued advancement in the critical minerals sector. The company, listed on both the ASX 300 and Nasdaq, confirmed the issuance of new American Depositary Shares (ADS) to fund development at its flagship Estelle Gold and Critical Minerals Project in Alaska.
The Estelle Project is a key component of Nova’s portfolio, spanning a large corridor of mineralised terrain. The latest capital injection is set to reinforce exploration activities and progress the project through feasibility stages.
Capital Raise Strengthens Exploration and Development Funding
The company’s Nasdaq offering involved the issuance of ADS units, each representing multiple ordinary shares. Nova stated that proceeds will be directed toward resource definition, project feasibility studies, and corporate operations, including strategic planning around infrastructure, environmental studies, and permitting pathways.
The Estelle Gold and Critical Minerals Project, located in Alaska’s Matanuska-Susitna Borough, holds a broad expanse of state mining claims. Within this tenure, over twenty mineralised prospects have been identified, including the Korbel and RPM deposits.
Offer Details and Allotment Structure Confirmed
As part of the offering structure, Nova Minerals issued the new ADS under ASX Listing Rule 7.1 and 7.1A, with separate tranches covering the full allocation. An updated Appendix 3B has also been lodged to reflect the share movements in line with regulatory compliance requirements.
Additionally, the company has granted a limited-duration over-allotment option to underwriters and included warrant issuance provisions subject to shareholder approval. These terms allow for additional ADS and ordinary share subscriptions should the over-allotment option be exercised in full.
Focus Remains on Strategic Project Expansion
Nova Minerals continues to maintain its strategic direction, focusing on expanding its resource base and de-risking the Estelle Project through technical and commercial assessments. The project’s corridor hosts both gold and antimony mineralisation, aligning with broader market demand for critical raw materials.
The latest funding round is positioned to accelerate advancement across multiple prospects within Estelle’s vast claim area. With technical studies and exploration efforts underway, the company’s recent listing activities reflect a focus on strengthening its international profile and operational momentum.
