Barclays PLC (LSE:BARC) has announced the purchase of 3,368,640 ordinary shares for cancellation under its ongoing share buy-back program, which was initially outlined on 5 August 2024. These shares were repurchased on the London Stock Exchange from Citigroup Global Markets Limited. The transaction was carried out at a volume-weighted average price of 255.3 pence per share, with the highest and lowest prices paid being 257.9 pence and 251.8 pence, respectively.

The company has confirmed that all repurchased shares will be cancelled, meaning they will no longer be in circulation. As a result, the company’s issued share capital will be adjusted to 14,476,366,536 ordinary shares with voting rights. This change in the capital structure reflects a reduction in the number of shares available in the market, which may have an impact on shareholder value by increasing the relative stake of remaining shareholders.

Additionally, there are no shares being held in Treasury following the completion of this buy-back initiative. Shareholders and those with notification obligations under the FCA's Disclosure Guidance and Transparency Rules should use the new total of 14,476,366,536 ordinary shares as the denominator for calculating their interest in the company or any changes to their holdings.

The repurchase of shares forms part of Barclays' broader strategy to manage its share capital and may help enhance shareholder value over time by reducing the number of shares in circulation. Since the commencement of the buy-back program on 5 August 2024, the company has purchased a total of 257,261,239 ordinary shares at an average price of 227.77 pence per share.
